# Terms of Service Last updated: August 10, 2026 Welcome to Prism Labs. These Terms of Service (“Terms”) govern your access to and use of the Prism Labs website, any related websites, communications, products, content, and services (collectively, the “Site” and “Services”). By accessing the Site, placing an order, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase any products from us. # Eligibility You may use the Site and purchase products from Prism Labs only if you are at least twenty-one (21) years old, or the age of majority in your jurisdiction, whichever is higher, and are otherwise legally permitted to do so. By using the Site or placing an order, you represent and warrant that you meet these requirements. # Research Use Only; No Human or Veterinary Use All products offered by Prism Labs are sold **strictly and exclusively for lawful in-vitro laboratory research and analytical purposes by qualified persons or entities**. **Products sold by Prism Labs are not for human consumption, not for veterinary use, not for personal use, not for household use, and not for resale or redistribution.** Our products are not sold as drugs, foods, dietary supplements, cosmetics, or medical devices, and they are not intended for use in the diagnosis, cure, mitigation, treatment, or prevention of any disease or condition. Prism Labs does not provide medical advice, treatment recommendations, dosage information, instructions for administration, or guidance for any in vivo, therapeutic, cosmetic, or other unauthorized use. By purchasing from Prism Labs, you represent, warrant, and agree that: - you are purchasing solely for lawful research purposes in a controlled setting; - you understand the nature of the materials purchased; - you will not use the products for any prohibited purpose; - you will not mislabel, repackage, resell, redistribute, or export the products in violation of applicable law; and - you are solely responsible for determining whether your purchase, possession, use, storage, handling, transportation, and disposal of any product is lawful in your jurisdiction. # Compliance With Law You are solely responsible for complying with all applicable federal, state, and local laws, rules, and regulations relating to the purchase, receipt, possession, storage, handling, use, transport, disposal, and export of our products. Prism Labs does not represent or warrant that any product is legal for purchase, shipment, possession, or use in any particular jurisdiction. We reserve the right, in our sole discretion, to refuse or cancel any order if we believe the order may violate these Terms or applicable law, or otherwise expose Prism Labs to legal, regulatory, reputational, or operational risk. # No Medical, Health, or Performance Claims Content on the Site is provided for general informational purposes only. Nothing on the Site, in product descriptions, in customer communications, or in related content is intended to constitute medical advice, health advice, diagnostic advice, treatment advice, or any representation that a product is safe or effective for human or animal use. You agree not to rely on the Site or any Prism Labs content as a substitute for professional, scientific, legal, or medical judgment. # Assumption of Risk You acknowledge that products sold by Prism Labs may involve inherent risks and require specialized knowledge, training, facilities, and precautions for safe and lawful handling. You knowingly and voluntarily assume all risks associated with the purchase, possession, storage, handling, use, misuse, transport, and disposal of any product purchased from Prism Labs. # Orders; Acceptance; Refusal and Cancellation All orders are subject to acceptance by Prism Labs. Receipt of an order confirmation does not guarantee acceptance of your order. We reserve the right to refuse, limit, or cancel any order at any time and for any lawful reason, including suspected fraud, suspected misuse, suspected resale, legal or regulatory concerns, pricing errors, inventory issues, or shipping restrictions. If Prism Labs cancels an order before shipment and has collected payment, Prism Labs will issue a refund of the amount actually received for the canceled order to the original payment method, where available, or by another commercially reasonable method. # Payment You agree to provide current, complete, and accurate payment information. By submitting payment information, you represent and warrant that you are authorized to use the selected payment method and that all billing information provided is accurate. We may use third-party payment processors. Prism Labs does not store or control all payment information submitted in connection with a transaction. # Payment & Billing Policy Prism Labs supports secure checkout for qualified research customers purchasing materials for laboratory research use only. **Secure Payment Processing** Available payment options are shown at checkout. All transactions are processed through encrypted payment infrastructure, and Prism Labs does not store full card numbers on our site. Your billing statement may show the business or payment descriptor associated with Prism Labs or our authorized payment processor. If you do not recognize a charge, contact us before opening a dispute so we can help verify the order. **Research-Use Purchase Requirements** By placing an order, the purchaser confirms that: - The order is for laboratory research use only. - The purchaser is at least 21 years old. - The purchaser is authorized to buy research materials on behalf of a laboratory, business, institution, or qualified research activity. - The products will not be used for human or animal consumption. - The products will not be resold or transferred for any non-research purpose. - The purchaser has reviewed the applicable product information, including available COAs and testing documentation. Orders that do not meet these requirements may be declined, canceled, or refunded. **Shipping And Billing Review** For payment security, the billing and shipping information submitted at checkout may be reviewed before an order is released. Orders with incomplete, inconsistent, or unverifiable information may be delayed or canceled. Prism Labs currently ships only to eligible U.S. addresses. We may decline shipments to restricted locations, forwarding services, or addresses that cannot be verified. **Canceled Or Declined Orders** An order may be canceled or declined if: - The purchaser does not meet research-use requirements. - The payment cannot be verified. - The billing or shipping information is incomplete or inconsistent. - The order appears connected to non-research use. - The order violates Prism Labs policies, payment processor requirements, or applicable law. If an order is canceled after payment authorization, any eligible refund will be returned to the original payment method. Bank processing times may vary. **Chargebacks And Payment Questions** If you have a payment question, duplicate charge concern, or order issue, contact Prism Labs support first. We can review the transaction, confirm order status, and help resolve eligible billing issues quickly. Chargebacks filed without contacting support may delay resolution and may affect account eligibility for future orders. **Research Use Only** All Prism Labs products are sold strictly as research materials. They are not drugs, foods, dietary supplements, cosmetics, medical devices, or consumer-use products. They are not intended for human or animal consumption, clinical use, diagnostic use, or any other non-research purpose. By completing checkout, the purchaser agrees to Prism Labs' research-use requirements, payment terms, and order review policies. # Shipping; Delivery; Risk of Loss Prism Labs ships only to locations we elect to serve and may restrict shipment destinations, products, quantities, or customers at any time. Estimated shipping or delivery times are approximate only and are not guaranteed. Once an order has been tendered to the carrier, delays, delivery failures, or other shipping issues outside our reasonable control may occur. To the fullest extent permitted by law, Prism Labs is not liable for carrier delays, failed delivery attempts, incorrect addresses provided by the customer, weather events, service interruptions, or other circumstances beyond our reasonable control. Risk of loss and title pass to the purchaser to the extent permitted by applicable law upon transfer to the carrier. # Return & Refund Policy {#return-refund-policy} Returns are subject to the following conditions. ## Eligible Returns - Returns are only accepted for damaged or incorrect items. ## Non-Returnable Items The following are not eligible for return, refund, replacement, or store credit: - Any opened, used, tampered, or relabeled products. - Products showing any signs of use or handling. - Products returned with prohibited-use language or any indication they were used for human or veterinary purposes. - Products associated with chargeback abuse, payment dispute abuse, fraud, misrepresentation, or violation of Prism Labs policies. - Change of mind does not constitute an acceptable return condition ## Customer Responsibilities - Products must be returned in **new, unopened, and sealed condition** with original packaging intact. - Customer is responsible for all return shipping costs. - No restocking fees apply. - You must contact **support@prismlabs.store** within **48 hours** of delivery to initiate a return and provide clear photos of the product, outer packaging, and shipping label. ## Inspection & Approval All returns are subject to inspection upon receipt. We reserve the right to deny any return that does not meet our conditions or that appears inconsistent with our Research Use Only policy. Refunds or store credit will be issued within **3 business days** after we approve and receive the return. ## Prohibited Use Voids Eligibility Refund, replacement, return, and store-credit eligibility may be denied if any communication or evidence suggests human use, animal use, dosing, or any use inconsistent with Prism Labs' Research Use Only restrictions. # Product Storage, Handling, and Disposal You are solely responsible for ensuring that all products are stored, handled, used, transported, and disposed of safely, lawfully, and in accordance with all applicable instructions, standards, and regulations. Prism Labs is not responsible for any loss, injury, damage, contamination, or liability resulting from improper storage, handling, labeling, use, transport, disposal, or misuse of any product. # Prohibited Conduct You agree not to: - use the Site or products for any unlawful purpose; - use any product for human or veterinary application; - make any medical, therapeutic, or diagnostic claim concerning any product; - purchase products on behalf of another person for unauthorized use; - resell, repackage, relabel, dilute, compound, or alter any product for commercial distribution; - misrepresent your identity, qualifications, intended use, or legal compliance; - interfere with or disrupt the security or operation of the Site. # Disclaimer of Warranties TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, SERVICES, AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WITHOUT LIMITING THE FOREGOING, PRISM LABS DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. Prism Labs does not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components, or that any product is suitable for any particular research purpose. # Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, PRISM LABS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THE SITE, SERVICES, PRODUCTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, PRISM LABS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY ORDER, PRODUCT, SITE, SERVICE, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO PRISM LABS FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so portions of this Section may not apply to you to the extent prohibited by law. # Indemnification You agree to defend, indemnify, and hold harmless Prism Labs and its owners, officers, directors, employees, contractors, affiliates, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: - your purchase, possession, storage, handling, use, misuse, transport, or disposal of any product; - your violation of these Terms; - your violation of any law, rule, or regulation; - your negligence, recklessness, misconduct, or unauthorized use of any product; or - any claim by a third party resulting from your acts or omissions. # Privacy Your submission of personal information through the Site is governed by our Privacy Policy. By using the Site, you acknowledge that Prism Labs may collect, use, process, and disclose information as described in that policy for purposes including order fulfillment, customer support, legal compliance, fraud prevention, Site operation, and related communications. # Intellectual Property All content on the Site, including text, graphics, logos, product names, images, software, and other materials, is owned by or licensed to Prism Labs and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit Site content without our prior written consent, except as expressly permitted by law. # Third-Party Services The Site may include links to third-party services, platforms, or websites. Prism Labs does not control and is not responsible for any third-party content, policies, products, or services. Your dealings with third parties are solely between you and the third party. # Governing Law; Venue These Terms and any dispute arising out of or relating to the Site, Services, products, or these Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of those courts. # Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law. # No Waiver No failure or delay by Prism Labs in exercising any right or remedy shall operate as a waiver of that right or remedy. # Changes to These Terms Prism Labs may update or modify these Terms at any time by posting the revised version on the Site. Changes become effective upon posting unless otherwise stated.
